Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ultimate News platform, website, and services (collectively, the "Service") provided by Ultimate News, based in Tallinn, Estonia ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which forms part of these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using the Service under applicable laws
  • If acting on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Service

Ultimate News is a media intelligence platform, not a news publisher. We analyze how events are reported across sources — we do not independently report or verify facts.

The Service includes:

  • Real-time media intelligence and cross-source analysis
  • AI-powered source reliability assessment and credibility scoring
  • Geographic visualization and regional coverage analysis
  • API access for programmatic integration (on applicable plans)

Content, analyses, reliability scores, and summaries provided through the Service are generated by artificial intelligence systems. They are not produced by human journalists or analysts. AI-generated content may contain errors, inaccuracies, or biases. Users should independently assess information through original sources, which are always linked.

We may modify, suspend, or discontinue aspects of the Service. For paid subscriptions, material changes to features included in your plan will be communicated at least 30 days in advance. If such changes materially reduce the functionality of your plan, you may cancel for a pro-rata refund of any prepaid period.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security of your authentication credentials and any connected third-party accounts (e.g., Google) used to access the Service
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Subscription and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our pricing page. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment Terms

  • Payments are processed securely through our third-party payment providers
  • Subscriptions are billed in advance on a monthly or annual basis
  • All prices are displayed in Euros (EUR) and include applicable VAT for EU customers
  • Payment is due at the time of subscription or renewal

4.3 Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase, without giving any reason.

To exercise your right of withdrawal, you must inform us by a clear statement (e.g., email to legal@ultimate.news) of your decision to withdraw. You may use the following template:

"I hereby give notice that I withdraw from my contract for the provision of the Ultimate News service. Ordered on: [date]. Name: [your name]. Email: [your account email]. Date: [today]."

By starting to use the Service during the withdrawal period, you expressly consent to the performance of the Service beginning immediately. You acknowledge that you will lose your right of withdrawal once the Service has been fully performed during that period.

If you withdraw before the 14-day period expires, we will reimburse all payments received, minus an amount proportional to the Service already provided up to the date you communicated your withdrawal. Reimbursement will be made within 14 days using the same payment method as the original transaction.

After the 14-day withdrawal period, we do not provide refunds for unused portions of subscription periods, except where required by applicable law.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We will send you a reminder email at least 14 days before your subscription renews.

You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access to the Service until then. No refunds are issued for the remaining period after cancellation, except as required by applicable law.

5. User Conduct

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Scrape, data mine, or systematically collect data from the Service without authorization
  • Aggregate, reproduce, or redistribute content from the Service, including analytical summaries or reliability scores, for commercial purposes
  • Resell, redistribute, or sublicense the Service without permission
  • Use the Service for competitive analysis or to build a competing product
  • Circumvent any access restrictions or usage limits

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Ultimate News and are protected by applicable copyright, trade secret, and other intellectual property laws.

The "Ultimate News" name, logo, and related names, logos, and designs are unregistered trademarks of Ultimate News. You may not use these marks without our prior written permission.

Third-party media content referenced and analyzed through the Service remains the property of its respective publishers. We provide analytical summaries and source references — we do not claim ownership of third-party content.

If you are a rights holder and believe that content available through the Service infringes your copyright or other intellectual property rights, please contact us at legal@ultimate.news with a description of the protected work and the allegedly infringing material. We will respond to valid takedown requests in accordance with applicable EU copyright law, including Directive (EU) 2019/790.

7. User Content

You may submit content to the Service, including saved searches, annotations, and preferences ("User Content"). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing the Service.

You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

Upon request, we will provide you with an export of your User Content in a commonly used, machine-readable format within 30 days. This is in addition to your data portability rights under GDPR, as described in our Privacy Policy.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

9. Disclaimer: Not a News Publisher

Ultimate News is a media intelligence platform. We are not a news publisher, news agency, or journalistic organization. The Service provides automated analysis, reliability scores, and summaries based on algorithmic processing of publicly available media sources.

The Service does not constitute journalism, editorial reporting, or professional advice of any kind. Reliability scores, source assessments, and analytical summaries are generated by automated systems and reflect algorithmic outputs — not editorial judgment or factual assertions.

You should not rely on the Service as a substitute for independent research, professional advice, or your own judgment. We do not guarantee the accuracy, completeness, or timeliness of any information presented through the Service.

10. Electronic Communications

By using the Service, you consent to receiving communications from us electronically, including emails regarding your account, subscription renewals, service changes, and legal notices. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

11. Corrections

The Service may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The reliability scores or source assessments are guaranteed to be accurate

The intelligence and analysis provided through the Service is for informational purposes only and should not be relied upon as the sole basis for making decisions.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Ultimate News shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

14. Indemnification

If you use the Service in a business or professional capacity, you agree to indemnify and hold harmless Ultimate News from claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your intentional or grossly negligent violation of these Terms
  • Your violation of any rights of a third party
  • Third-party intellectual property claims arising from your User Content

This indemnification does not apply to individual consumers using the Service for personal purposes, except in cases of intentional misconduct.

15. Termination

15.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us at legal@ultimate.news. Termination takes effect at the end of the current billing period.

15.2 Termination by Us for Cause

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or illegal activity, or use the Service in a manner that threatens its security or the rights of other users. We will notify you of the reason for termination where possible.

15.3 Termination by Us Without Cause

We may terminate your account without cause by providing at least 30 days' written notice. If we terminate your account without cause, you will receive a pro-rata refund for any prepaid subscription period remaining after the termination date.

15.4 Effect of Termination

Upon termination:

  • Your right to use the Service will cease
  • You may request an export of your User Content for up to 30 days after termination
  • After the 30-day export period, we may delete your account and User Content
  • Provisions that by their nature should survive (including Sections 6, 9, 12, 13, and 16) will remain in effect

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia.

Subject to Section 17 (Dispute Resolution), disputes arising from these Terms shall be subject to the jurisdiction of the courts of Tallinn, Estonia.

If you are a consumer habitually resident in the European Union, these Terms do not affect your rights under the mandatory consumer protection laws of your country of residence. Where those laws provide greater protection, they will apply. You may also bring proceedings in the courts of the EU member state where you are domiciled.

17. Dispute Resolution (ADR)

17.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@ultimate.news to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

17.2 EU Consumer Dispute Resolution

If you are a consumer in the European Union, you may refer a dispute to a recognized alternative dispute resolution (ADR) body in your country of residence. A directory of ADR bodies across EU member states is available at consumer-redress.ec.europa.eu.

For consumers in Estonia, disputes may be referred to the Estonian Consumer Protection and Technical Regulatory Authority (TTJA) at ttja.ee.

18. General Provisions

18.1 License Grant

Subject to due payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for the purposes described herein. This right is valid for the duration of your subscription or account.

18.2 Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification for significant changes

Amended Terms become effective 30 days after publication. If you disagree with the amendments, you may terminate your account before the effective date. Your continued use of the Service after the effective date constitutes acceptance.

18.3 Subcontractors

We may use subcontractors for the provision of the Service. We are liable for our subcontractors' work as for our own.

18.4 Assignment

You may not transfer or assign these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate, successor, or acquirer of our business without your prior consent.

18.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government actions, power failure, internet or telecommunications failure, or cyberattacks.

18.7 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ultimate News regarding the Service and supersede all prior agreements and understandings.
